By accessing and using Side.xyz, you agree to these Terms of Use, as well as any additional terms and conditions that may be posted on the website from time to time. If you do not agree to these Terms of Use, you must not use Side.xyz.

2. Risks and Disclaimer

Side.xyz is a no-code web3 platform that allows users to create, buy, and sell digital assets, including the $SIDE token and Side NFT Cards. However, investing in digital assets always involves risks, and the price of these assets can be highly volatile. By using Side.xyz, you acknowledge and accept that:

  • Investing in digital assets is risky, and you might lose some or all of your investment.
  • Side.xyz is still in development, and the project’s progress, security, or price of the $SIDE token and Side NFT Cards may be hindered by unforeseen events.
  • Side.xyz is subject to a rapidly evolving regulatory and legal landscape, and new laws, regulations, or other restrictions may have a material adverse effect on it.
  • The plan for Side.xyz is an obligation of means and not an obligation of results. Plan and view might change over time depending on community decisions, legal opinion, regulatory framework or technological evolution.
  • Side.xyz does not assume any liability or responsibility if unforeseen events occur during the development of the project.

Accordingly, you agree that you use Side.xyz and invest in $SIDE tokens and Side NFT Cards at your own risk. Side.xyz does not provide investment advice, counsel, or solicitation for investment, and the content of this website is for informational purposes only.

3. Ownership and Use of Digital Assets

$SIDE tokens and Side NFT Cards are digital assets that you can own and use on Side.xyz. By owning and using these assets, you agree that:

  • You own the digital assets that you acquire on Side.xyz, subject to the terms of any applicable smart contracts.
  • You are solely responsible for the security of your digital assets, including the private keys required to access them.
  • You will use the digital assets only for lawful purposes and in accordance with these Terms of Use.
4. Liability of Side.xyz

Side.xyz undertakes to perform its obligations with the care customary in its profession and comply with the rules of the art in force, and is only bound by an obligation of means.

To the extent permitted by law, Side.xyz’s liability to you under any or all provisions of these Terms shall be limited to the amount paid by you for the purchase of $SIDE tokens or Side NFT Cards on Side.xyz.

In no event shall Side.xyz be held liable for any indirect, special, exemplary, punitive, consequential, or related damage, including loss of profits, reputation, or data, in any way related to the use or inability to use, purchase, or lack of opportunity to purchase $SIDE tokens or Side NFT Cards, or arising out of or in connection with any provision under these Terms.

5. Intellectual Property

Parties undertake, throughout these Terms and without any time limit after the expiry of such Terms, for any reason whatsoever, to maintain the utmost confidentiality, by refraining from disclosing, directly or indirectly, any information, knowledge, or know-how whatsoever concerning their co-contracting Party and their operating methods, to which they could have had access in the course of the performance of these Terms unless such information, knowledge or know-how has fallen into the public domain or its disclosure is made necessary under a special regulation or an administrative or judicial injunction.

All intellectual property rights related to Side.xyz, including but not limited to the website, software, code, graphics, designs, logos, trademarks, and any other materials created by Side.xyz, are owned by Side.xyz or licensed to Side.xyz by third-party licensors. No rights are granted to you except as expressly set forth in these Terms.

You acknowledge and agree that you will not copy, reproduce, modify, create derivative works from, distribute, sell, transfer, publicly display, transmit or otherwise use the intellectual property rights of Side.xyz, except as expressly authorized by these Terms or by Side.xyz in writing.

All User Content, including but not limited to text, images, audio or video content, submitted to Side.xyz remains the sole property of the user who submitted it. By submitting User Content, you grant Side.xyz a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use your User Content to provide, operate, and improve the Services of Side.xyz, including but not limited to the promotion of the Services of Side.xyz, without any compensation or obligation to you.

6. Hyperlinks

The Website may contain hyperlinks or content from Third-Party Services. Such Third-Party Services may be subject to different terms and conditions and privacy practices.

Side.xyz shall not be liable for the availability or accuracy of such Third-Party Services, or the content, products, or services available from such Third-Party Services.

Hyperlinks to such Third-Party Services are not an endorsement by Side.xyz of such Third-Party Services. In this respect, please note that Side.xyz has no control over and does not monitor the content published by these third parties. Consequently, Side.xyz shall not be held liable for any contents published by any third party whatsoever.

Hyperlinks redirecting to Side.xyz are only authorized subject to Side.xyz’s prior written consent.

7. Personal Data

Side.xyz does not ask you to provide any personal information unless Side.xyz needs it. Thus, Side.xyz needs to process information to identify you either directly or indirectly for various purposes, each provided for in our Privacy Policy available on our Website.

8. Non-waiver

Failure by Side.xyz at any time to require the other Party to perform any of its obligations under these Terms will not affect the right of Side.xyz to request their execution thereafter.

The nullity of any clauses of these Terms does not affect the validity and the obligation to respect the other clauses.

9. Completeness

These Terms replace and cancel any previous oral or written commitments relating to the subject of these Terms.

10. Severability

Each provision of these Terms is severable and distinct from the others. If a provision is or becomes illegal, invalid or unenforceable to any extent, it must be severed from the remainder of the contract.

This does not affect the legality, validity, or enforceability of any other provisions of these Terms, which continue in full force and effect. The illegal, invalid or unenforceable provision must be replaced by a legal, valid and enforceable substitute provision which corresponds as closely as possible with the actual intent of the Company or Purchaser under the illegal, invalid or unenforceable provision.

These Terms must be interpreted as if they had contained the substitute provision from their entry into force.

11. Complaints and Support

We will acknowledge receipt of your complaint within a maximum of fifteen (15) working days from the receipt of your complaint. Unless duly justified circumstances require otherwise.

12. Disputes

In the event of a dispute, you are invited to make a complaint in accordance with Article 18 above. No action may be brought against Side.xyz without prior formal notice by registered letter with return receipt requested. You are informed that you may seek conventional mediation in any event, or any alternative dispute resolution method.

13. Jurisdiction

Unless otherwise provided by law, any claims or disputes resulting from or arising out of your use of Side.xyz shall be submitted to the exclusive jurisdiction of the courts of the jurisdiction in which Side.xyz is incorporated.
